Welcome to Faliam, Inc. Faliam, Inc. and/or its affiliates (“Faliam”) provide website features and other products and services to you when you visit or shop at faliam.com, use Faliam products or services, or use software provided by Faliam in connection with any of the foregoing (collectively, “Faliam Services”). Faliam provides the Faliam Services subject to the following conditions.

Please read these Faliam Terms and Conditions of Use (“Terms”) carefully before You use Faliam Services.

Conditions of Use

If you choose to use Faliam Services, your use and any dispute over privacy is subject to this Privacy Notice and our Terms and Conditions of Use, including limitations on damages, resolution of disputes, and application of the law of the state of California. If you have any concern about privacy at Faliam, please contact us with a thorough description, and we will try to resolve it. Our business changes constantly, and our Privacy Notice will change also. You should check our websites frequently to see recent changes. Unless stated otherwise, our current Privacy Notice applies to all information that we have about you and your account. We stand behind the promises we make, however, and will never materially change our policies and practices to make them less protective of customer information collected in the past without the consent of affected customers.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between you and Faliam. These Terms and Conditions set out the rights and obligations of all users regarding the use of Faliam’s Services.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms and Conditions. If you disagree with any part of these Terms and Conditions then you may not access the Service.

You represent that you are over the age of 18. Faliam does not permit those under 18 to use the Service.

By using Faliam Services, you agree to these conditions. Please read them carefully.

We offer a wide range of Faliam Services, and sometimes additional terms may apply. When you use a Faliam Service (for example, Your Profile, Bundles, or Dashboard) you also will be subject to the guidelines, terms and agreements applicable to that Faliam Service ("Service Terms"). If these Conditions of Use are inconsistent with the Service Terms, those Service Terms will control.

Privacy

Your Privacy is very important to us. We designed our Privacy Policy to make important disclosures as to how we collect and use your content and information. Please review our Privacy Notice, which also governs your use of Faliam Services, to understand our practices and make informed decisions about using Faliam.

By using or accessing Faliam Services, you agree to these conditions, as updated from time to time in accordance with our update policies in this document. Please read them carefully.

Electronic Communications

When you use Faliam Services, or send e-mails and other communication from your device to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by posting news and notices on our website, sending you e-mails, notices and messages on faliam.com or through Faliam Services. You can retain copies of these communications for your records. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically meet the legal requirements that such communications be in writing.

Copyright

All content included in or made available through any Faliam Service, such as text, graphics, logos, button icons, images, data compilations, and software is the property of Faliam or its affiliates and protected by United States and international copyright laws. The compilation of all content included in or made available through any Faliam Service is the exclusive property of Faliam and protected by U.S. and international copyright laws.

Some content displayed by Faliam, including company names and logos of manufacturers and suppliers, as well as product names, descriptions, documentation, and images, may be owned by their originators rather than Faliam.

As an authorized agent of our users, Faliam accesses and uses these content items for the sole purpose of providing the Services to our users, but claims no copyright to such materials owned and copyrighted by their originators.

Companies that upload or enter content into Faliam give Faliam a permanent and unrestricted license to such content for all as long as the Faliam Services remain operational.

Trademarks

Subject to your compliance with these Conditions of Use and any Service Terms, and your payment of any applicable fees, Faliam grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make use of the Faliam Services. This license does not include any resale or commercial use of any Faliam Service, or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of any Faliam Service or its contents; any downloading, copying, or other use of account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools. All rights not expressly granted to you in these Conditions of Use or any Service Terms are reserved and retained by Faliam. No Faliam Service, nor any part of any Faliam Service, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Faliam. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Faliam without express written consent. You may not use any meta tags or any other "hidden text" utilizing Faliam's name or trademarks without the express written consent of Faliam. You may not misuse the Faliam Services. You may use the Faliam Services only as permitted by law. The licenses granted by Faliam terminate if you do not comply with these Conditions of Use or any Service Terms.

Your Account

You may need your own Faliam account to use certain Faliam Services, and you may be required to be logged in to the account and have a valid payment method associated with it. If there is a problem charging your selected payment method, we may charge any other valid payment method associated with your account. Visit PAYMENTS PAGE to manage your payment options. When you create a Faliam account, you must provide Faliam information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your Faliam account. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of Your account. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization. Faliam reserves the right to refuse service, terminate accounts, terminate your rights to use Faliam Services, or cancel orders in its sole discretion.

Payment Authorization

By agreeing to these Terms and Conditions, you hereby authorize Faliam Inc. to charge your credit card or other payment method you provide for the cost of the services as outlined in your service agreement. Charges will be made on or after the due date as specified in your service agreement or billing statement. You represent and warrant that: You are the legal owner or authorized user of the credit card or other payment method provided. All payment information provided is accurate, current, and complete. Failure to make payment by the due date may result in service interruption or termination of your account, as outlined elsewhere in these Terms and Conditions.

Reviews, Comments, Communications, and Other Content

You may post reviews, comments, and submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, or any form of &qout;spam&qout; or unsolicited commercial electronic messages. You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of a card or other information. Faliam reserves the right (but not the obligation) to remove or edit such content. If you do post reviews, comments, or submit suggestions and unless we indicate otherwise, you grant Faliam a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such content throughout the world in any media or platform. You grant Faliam the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you post and that use of the content you supply does not violate this policy and will not cause injury to any person or entity. Faliam has the right but not the obligation to monitor and edit or remove any activity or posted content. Faliam takes no responsibility and assumes no liability for any content posted by you or any third party.

Intellectual Property Complaints

Faliam respects the intellectual property of others. If you believe that your intellectual property right are being infringed, please follow our HYPERLINK TO NOTICE FOR MAKING CLAIMS PAGE.

Risk of Loss

All purchases of physical items from Faliam are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

Returns, Refunds and Title

Faliam does not take title to returned items until the item arrives at our fulfillment center. At our discretion, a refund may be issued without requiring a return. In this situation, Faliam does not take title to the refunded item. For more information about our returns and refunds, please see our RETURNS PAGE.

Product Descriptions

Faliam attempts to be as accurate as possible. However, Faliam does not warrant that product descriptions or other content of any Faliam Service is accurate, complete, reliable, current, or error-free. If a product offered by Faliam itself is not as described, your sole remedy is to return it in unused condition.

Sanctions and Export Policy

You may not use any Faliam Service if you are the subject of U.S. sanctions or of sanctions consistent with U.S. law. You must comply with all U.S. or other export and re-export restrictions and regulations that may apply to goods, software (including Faliam Software), technology, and services.

Other Businesses

Parties other than Faliam operate stores, provide services, or sell product lines through the Faliam Services. In addition, we provide information about affiliated companies and certain other businesses. If you purchase any of the products or services offered by these businesses or individuals, you are purchasing directly from those third parties, not from Faliam. We are not responsible for examining or evaluating, and we do not warrant, the offerings of any of these businesses or individuals (including the content of their Web sites). Faliam does not assume any responsibility or liability for the actions, product, and content of all these and any other third parties. You should carefully review their privacy statements and other conditions of use.

Account Information From Third-Party Sites

When you use the Faliam Services, you may provide or direct Faliam to retrieve your own information maintained online by third-parties with which you have customer relationships, maintain accounts, or engage in purchase transactions to supply your organization (“Account Information”). Faliam does not review the Account Information for accuracy, legality or non-infringement. Faliam is not responsible for the Account Information or products and services offered by or on third-party sites.

Faliam cannot always foresee or anticipate technical or other difficulties which may result in failure to obtain data or loss of data, personalization settings or other service interruptions. Faliam cannot assume responsibility for the timeliness, accuracy, deletion, non-delivery or failure to store any user data, communications or personalization settings.

Rights You Grant to Faliam as Your Authorized Agent

By submitting information, data, passwords, usernames, other login information, materials and other content to Faliam through the Services, you are licensing that content to Faliam for the purpose of providing the Services. Faliam may use and store the content in accordance with this Agreement and our Privacy Policy. You represent that you are entitled to submit it to Faliam for use for this purpose, without any obligation by Faliam to pay any fees or be subject to any restrictions or limitations.

When you sign up for a Faliam account and provide your information, data, passwords, usernames, and other login information and credentials to third party services and websites, you designate Faliam as your authorized agent with permission to use your login information to third-party services, such as your suppliers, and represent that you are authorized to do so by your clinic or company. Faliam’s systems utilize this login information to access these third-party services’ websites on your behalf to obtain and analyze pricing, availability, order history, invoices, cart, and other information.

By using the Services, you expressly authorize Faliam to access your Account Information maintained by identified third parties, on your behalf as your agent, and you expressly authorize such third parties to disclose your information to us. When you use the Faliam Services, you will be directly connected to the website for the third party you have identified. Faliam will submit information including usernames and passwords that you provide to log into the Site. You hereby authorize and permit Faliam to use and store information submitted by you to accomplish the foregoing and to configure the Services so that it is compatible with the third party sites for which you submit your information.

Actions you expressly authorize Faliam to take on your behalf for all suppliers whose information you’ve submitted to Faliam include, but are not limited to, the following:

Product Retrieval - Faliam will locate a given product on a supplier’s website and view that product’s page or listing in order to serve you appropriate content.

Availability Retrieval - Faliam will obtain availability information, including stock or backorder status, quantities in stock, warehouse information, drop-ship information, and other availability information when available.

Pricing Retrieval - Faliam will obtain your own clinic’s pricing information for a product, including quantity discounts, promotions, and special instructions related to that product’s purchasing or shipment.

Cart Modification - Faliam will manage your cart on the supplier’s website by adding or removing products to/from your cart, or changing quantities in your cart.

Order History Retrieval - Faliam will retrieve and store invoices and other information on past orders from your suppliers to provide our order history and analytics features.

Order Placement - Faliam will place orders on your behalf with select third-party supplier websites

Faliam takes the above actions only after you have signed up for a Faliam account as an authorized representative of your clinic or company. Faliam will not, except for purposes of providing the Services to you, take actions on your suppliers’ websites without explicit permission.

For purposes of this Agreement and solely to provide the Account Information to you as part of the Services, you grant Faliam a limited power of attorney, and appoint Faliam as your attorney-in-fact and agent, to access third party sites, retrieve and use your information with the full power and authority to do and perform each thing necessary in connection with such activities, as you could do in person. YOU ACKNOWLEDGE AND AGREE THAT WHEN FALIAM IS ACCESSING AND RETRIEVING ACCOUNT INFORMATION FROM THIRD PARTY SITES, FALIAM IS ACTING AS YOUR AGENT, AND NOT AS THE AGENT OF OR ON BEHALF OF THE THIRD PARTY THAT OPERATES THE THIRD PARTY SITE. You understand and agree that the Services are not sponsored or endorsed by any third parties accessible through the Services. Faliam is not responsible for any payment processing errors or fees or other Services-related issues, including those issues that may arise from inaccurate account information.

Pricing and Availability From Suppliers With Whom You Have a Prior Relationship

For suppliers where Faliam acts as your Authorized Agent, any prices viewable to you on Faliam are the prices offered to you by the seller of that product. These prices are retrieved, on your behalf, as close to real time as feasible or via supplier-provided catalog, and represent the pricing specifically for your practice just as you would see on that seller’s eCommerce website.

Faliam makes no warranties to the accuracy of pricing or availability information. Despite our best efforts, a small number of the items in our catalog may be mispriced, or stock may be mislabeled, due to technical error of either the seller or Faliam. If the error resides with the seller, please contact the seller and/or refer to the seller’s policies for remedies. If the price of the item on Faliam does not match the price of the item on the seller’s eCommerce website, please contact us at support@faliam.com so that we may look into it.

Pricing and availability information for any given supplier may be unavailable, from time to time, due to an error or downtime on a supplier’s website, or changes to a supplier’s website that makes Faliam’s interfacing with their website temporarily unavailable. Faliam makes no warranties of uptime or that any connected supplier will have pricing and availability retrievable at any given time.

Disclaimer or Warranties and Limitation of Liability

THE FALIAM SERVICES AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE FALIAM SERVICES ARE PROVIDED BY FALIAM ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND, UNLESS OTHERWISE SPECIFIED IN WRITING. FALIAM MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE FALIAM SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE FALIAM SERVICES, UNLESS OTHERWISE SPECIFIED IN WRITING. FALIAM MAKES NO REPRESENTATION OF ANY KIND THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS OR BE ERROR FREE OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED. YOU EXPRESSLY AGREE THAT YOUR USE OF THE FALIAM SERVICES IS AT YOUR SOLE RISK.

TO THE FULL EXTENT PERMISSIBLE BY LAW, FALIAM, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF THE COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OR TRADE PRACTICES. FALIAM DOES NOT WARRANT THAT THE FALIAM SERVICES, INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE FALIAM SERVICES, FALIAM'S SERVERS OR ELECTRONIC COMMUNICATIONS SENT FROM FALIAM ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULL EXTENT PERMISSIBLE BY LAW, FALIAM WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF ANY FALIAM SERVICE, OR FROM ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH ANY FALIAM SERVICE, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES WATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, LOSS OF PRIVACY ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OR INABILITY TO USE THE SERVICES, THIRD-PARTY SOFTWARE AND/OR THIRD-PARTY HARDWARE USED WITH THE SERVICES, OR OTHERWISE IN CONNECTION WITH ANY PROVISION OF THIS TERM), EVEN IF FALIAM OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF THE REMEDY FAILS ON ITS ESSENTIAL PURPOSE, UNLESS OTHERWISE SPECIFIED IN WRITING.

NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR, THE ENTIRE LIABILITY OF FALIAM AND ANY OF ITS SUPPLIERS UNDER ANY PROVISION OF THESE T SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU THROUGH FALIAM SERVICES OR 100 USD IF YOU HAVEN’T PURCHASED ANYTHING THROUGH FALIAM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN TYPES OF WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER. IN SUCH CASES THE EXCLUSIONS AND LIMITATIONS SET FORTH IN THIS SECTION SHALL BE APPLIED TO THE GREATEST EXTENT ENFORECEABLE UNDER APPLICABLE LAW. FURTHER, SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, IN WHICH CASE SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY. IN THESE STATES, EACH PARTY’S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

Disputes

Our goal is to provide you with great service, so we’ll try our best to resolve any disagreements that you have with us. If you have any concern or dispute about any Faliam Service, you agree to first try to resolve the dispute informally by contacting Faliam. If we can’t, then you and we both agree that any dispute or claim relating in any way to your use of any Faliam Service, or to any products or services sold or distributed by Faliam or through faliam.com will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act and federal arbitration law apply to this agreement.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of these Conditions of Use as a court would.

We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration we each waive any right to a jury trial. You and we also agree that either party may bring suit in court to enjoin the infringement or other misuse of intellectual property rights.

Applicable Law

By using any Faliam Service, you agree that the Federal Arbitration Act, applicable federal law, and the laws of the state of California, without regard to principles of conflict of laws, will govern these Terms and Conditions of Use and any dispute of any sort that might arise between you and Faliam.

Site Policies, Modification, and Severability

Please review our other policies, such as our PRICING OR RETURNS and PRIVACY NOTICE posted on this site. These policies also govern your use of Faliam Services. We reserve the right to make changes to our site, policies, Service Terms, Privacy Notice and these Terms and Conditions of Use at any time

If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.

Additional Faliam Software Terms

The following terms (“Software Terms”) apply to any software (including any updates or upgrades to the software) and any related documentation we make available to you in connection with Faliam Services (the &quos;Faliam Software&quos;).

1. Use of the Faliam Software. You may use Faliam Software solely for purposes of enabling you to use and enjoy the Faliam Services as provided by Faliam, and as permitted by these Terms and Conditions of Use, these Software Terms and any Service Terms, including those of third party suppliers. You may not incorporate any portion of the Faliam Software into your own or other programs or compile any portion of it in combination with your own or other programs, transfer it for use with another service, or otherwise copy (except to exercise rights granted in this section), modify, create derivative works of, distribute, sell, rent, lease, lend, loan, assign any rights to, license or sub-license the Faliam Software in whole or in part. You may not use the Faliam Software for any illegal purpose. We may cease providing any Faliam Software and we may terminate your right to use any Faliam Software at any time. Your rights to use the Faliam Software will automatically terminate without notice from us if you fail to comply with any of these Software Terms or the Terms of Use. Additional third party terms contained within or distributed with certain Faliam Software that are specifically identified in related documentation may apply to that Faliam Software (or software incorporated with the Faliam Software) and will govern the use of such software in the event of a conflict with these Terms of Use. All software used in any Faliam Service is the property of Faliam or its software suppliers and is protected by United States and international copyright laws.

2. Use of Third Party Services. When you use the Faliam Software, you may also be using the services of one or more third parties, such as a payment processing software company, a wireless carrier, or a mobile platform provider. Your use of these third party services may be subject to the separate policies, terms of use, and fees of these third parties.

3. No Reverse Engineering. You may not, and you will not encourage, assist or authorize any other person to reverse engineer, copy, modify, decompile or disassemble, extract source code, tamper with, or bypass any security associated with the Faliam Software, whether in whole or in part, or create any derivative works from or of the Faliam Software.

4. Updates. In order to keep the Faliam Software up-to-date, we may offer automatic or manual updates to the Faliam Software at any time and without notice to you.

5. Export Regulations and Government End Users. You must comply with all export and re-export restrictions and regulations of the Department of Commerce and other United States agencies and authorities that may apply to the Faliam Software. If you are a U.S. Government end user, we are licensing the Faliam Software to you as a &qous;Commercial Item&qous; as that term is defined in the U.S. Code of Federal Regulations (see 48 C.F.R. § 2.101), and the rights we grant you to the Faliam Software are the same as the rights we grant to all others under these Terms of Use.

6. Conflicts. In the event of any conflict between these Terms and Conditions of Use and any other Faliam or third-party terms applicable to any portion of Faliam Software, such as open-source license terms, such other terms will control as to that portion of the Faliam Software and to the extent of the conflict.

We do our absolute best to keep Faliam safe. By using the Faliam Services, you agree to the following to help ensure the safety of our Services and the Faliam community:

You will not post unauthorized commercial communications (such as spam) on Faliam.

You will not attempt to sell any product that is illegal in any U.S. jurisdiction, or that you are not authorized to sell.

You will not use Faliam to do anything unlawful, misleading, malicious, or discriminatory.

You will not do anything that could disable, overburden, or impair the proper working or appearance of Faliam, such as a denial of service attack or interference with page rendering or other Faliam functionality.

You will not facilitate or encourage any violations of this Terms and Conditions of Use or our policies.

Additional Conditions for Registration and Account Security

Here are some commitments you make to us relating to registering and maintaining the security of your account:

You will not provide any false personal or clinic information on Faliam, or create an account for anyone other than yourself without permission.

You will not create more than one account for your clinic.

You will not misrepresent yourself for your clinic, by impersonating another person or clinic, on any part of Faliam.

If we disable your account, you will not create another one without our permission.

You will not use your Faliam account for your commercial gain, except for the purposes for which Faliam was specifically created to help clinics.

You will keep your contact information accurate and up-to-date.

You will not share your password, let anyone else access your account outside of your clinic, or do anything else that might jeopardize the security of your account.

You will not transfer your account to anyone without first getting our written permission.

Additional Miscellaneous Conditions of Use

This Statement of the Terms and Conditions of Use (“Statement”) makes up the entire agreement between the parties regarding Faliam and Faliam services and supersedes any prior agreements.

If any portion of this Statement is found to be unenforceable, the remaining portion will remain in full force and effect.

If we fail to enforce any of this Statement, it will not be considered a waiver.
